Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Account means a unique account created for You to access the Service or portions of the Service.

Feedback means suggestions, comments, ideas, or other feedback that You voluntarily provide regarding the Service.
Service refers to the Vaelith Intelligence website, software, features, tools, listings, search functionality, Market Intelligence, artificial intelligence features, subscription services, and related services made available by the Company.
Subscription means Your paid monthly subscription providing access to the subscription features described by the Company at the time of purchase.
Third-Party Services means services, technologies, data sources, websites, APIs, authentication providers, payment processors, or other services provided by third parties that are used in, connected to, or made available through the Service.
Website refers to Vaelith Intelligence, accessible from vaelithintelligence.com.
You means the individual accessing or using the Service.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions, which apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service. Your access to and use of the Service is also subject to Our Privacy Policy.

Eligibility

You must be at least 18 years old to access or use the Service. By accessing or using the Service, You represent and warrant that You are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for individual consumers and is not directed toward individuals under 18 years of age.

Subscriptions

Subscription Service

Vaelith offers one paid monthly subscription providing access to enhanced listing metrics and Market Intelligence features. The current subscription price is $299 per month unless a different price is clearly disclosed to You before purchase.

Automatic Renewal

Your Subscription automatically renews every month unless You cancel it before the next renewal date. By purchasing the Subscription, You expressly authorize the Company or its payment processor to charge Your selected payment method $299, plus any applicable taxes or other amounts expressly disclosed before purchase, on each monthly renewal date until You cancel. Before You complete Your purchase, We will clearly disclose the subscription price, the recurring nature of the charge, and the method by which You may cancel.

Billing

Your initial payment is due when You purchase the Subscription. Subsequent payments are due on each monthly renewal date. If a payment fails, We or Our payment processor may retry the payment or suspend or restrict access to paid features until the applicable payment is successfully processed.

Cancellation

You may cancel Your Subscription at any time. If You enroll through the Website, We will provide a cancellation method through the Website that allows You to stop future recurring charges without requiring unnecessary additional steps. Cancellation stops future renewal charges. Unless otherwise required by applicable law, cancellation does not automatically entitle You to a refund for the current billing period.

Refunds

Subscription fees are non-refundable except where a refund is required by applicable law or expressly approved by the Company. Nothing in this section limits any refund or other remedy required by applicable law.

Renewal Notices

Where required by applicable law, We will provide advance written notice regarding Your upcoming renewal, including the applicable renewal date, the amount to be charged, and information regarding how to cancel.

Changes to Subscription Fees

The Company may change the Subscription fee from time to time. If the Subscription fee changes, We will provide any notice required by applicable law before the new price applies. Where required, You will have an opportunity to cancel Your Subscription before the new price takes effect.

Vaelith Market Intelligence and Artificial Intelligence Features

The Service may provide market analysis, listing analysis, estimated pricing assessments, search results, negotiation-related analysis, and other information generated or assisted by artificial intelligence and automated systems. These features are provided for informational and analytical purposes only.

Vaelith's artificial intelligence and analytical systems may make mistakes, rely on incomplete or outdated information, misinterpret information, or produce results that are inaccurate, incomplete, or unsuitable for a particular situation. An indication that a vehicle or property appears to be priced high, low, fairly, or otherwise favorably or unfavorably is not a guarantee of its actual market value, transaction price, future value, appreciation, depreciation, investment performance, or potential profit.

AI-generated search results and recommendations may fail to identify all available listings or may include listings that are no longer available, have changed, or contain inaccurate information. Negotiation-related features may identify potential negotiation considerations or leverage points, but they do not guarantee that any party will accept any proposed price, term, strategy, or recommendation.

Nothing provided through the Service constitutes financial, investment, legal, tax, accounting, real-estate, appraisal, automotive, mechanical, or other professional advice. You should independently evaluate information provided by the Service and, where appropriate, consult a qualified professional before making significant decisions. You acknowledge and agree that You are solely responsible for Your decisions and actions based on information obtained through the Service.

Third-Party Listing and Market Data

The Service may display, analyze, organize, or otherwise use vehicle and property information obtained from third-party data providers, listing sources, APIs, and other external sources. Third-party information may be incomplete, inaccurate, outdated, delayed, duplicated, modified, removed, or otherwise unavailable.

Vaelith does not guarantee the accuracy, completeness, availability, legality, quality, or current status of any third-party listing, price, vehicle specification, mileage, property characteristic, market metric, historical information, or other third-party information. You are responsible for independently verifying material information directly with the applicable seller, dealer, owner, listing source, property representative, or other relevant party before relying on such information or entering into a transaction.

User Accounts

When You create an Account with Us, You agree to provide accurate, complete, and current information and to keep that information updated as reasonably necessary. You are responsible for maintaining the confidentiality of Your Account credentials and for activities conducted through Your Account, except to the extent caused by the Company's own acts or omissions. You agree not to share Your password with others and to notify Us promptly if You believe Your Account has been accessed or used without authorization. You may not use another person's identity or information to create an Account, impersonate another person or entity, or use an Account for fraudulent, unlawful, or abusive purposes.

Google Sign-In

The Service may allow You to create or access Your Account using Google Sign-In. If You use Google Sign-In, You authorize the Company to receive the information made available by Google for authentication and account creation, subject to Your Google Account settings and applicable Google policies. Your use of Google services is also subject to Google's applicable terms and privacy policies. The Company does not control Google's services and is not responsible for the availability, accuracy, or operation of Google Sign-In.

Your Feedback to Us

You may voluntarily provide suggestions, ideas, comments, or other feedback regarding the Service. You agree that the Company may use such Feedback without restriction and without compensation or obligation to You. To the extent permitted by law, You assign to the Company any rights You may have in Feedback for such purposes. You should not include confidential, sensitive, or unnecessary Personal Data in Feedback.

Intellectual Property

The Service and its original content, features, functionality, software, source code, designs, graphics, interfaces, text, branding, logos, trademarks, service marks, compilations, proprietary methodologies, analytical systems, and other materials provided by the Company are owned by, licensed to, or otherwise legally available to the Company and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, You may not copy, reproduce, modify, distribute, sell, license, lease, publicly display, publicly perform, publish, transmit, create derivative works from, reverse engineer, decompile, disassemble, or otherwise exploit any portion of the Service or its proprietary materials without the Company's prior written permission.

Your Subscription provides You with a limited, non-exclusive, non-transferable, revocable right to access and use the Service for Your personal, lawful use during the applicable Subscription period. You may not use automated systems, bots, scrapers, crawlers, spiders, or data-extraction tools to access, copy, collect, monitor, reproduce, or systematically extract information from the Service except where expressly authorized by the Company in writing. You may not use information obtained from the Service to create, develop, train, operate, or assist a competing database, search engine, market-intelligence service, valuation product, artificial intelligence system, or substantially similar commercial service, except where permitted by applicable law. All rights not expressly granted to You are reserved by the Company and its licensors.

Use of AI-Generated Outputs

Subject to these Terms, You may use AI-generated outputs provided to You through the Service for Your personal informational purposes. AI-generated outputs may incorporate or be based upon third-party information subject to rights held by third parties. You are responsible for ensuring that Your use of any output complies with applicable law and does not infringe the rights of another person or entity. Nothing in these Terms transfers ownership of third-party information or materials to You or the Company.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

use the Service in violation of any applicable law or regulation;
use the Service to commit fraud, impersonate another person, or engage in deceptive, abusive, or unlawful conduct;
share, sell, transfer, sublicense, or otherwise provide access to Your Account to another person;
attempt to gain unauthorized access to the Service, another user's Account, or systems connected to the Service;
interfere with or disrupt the operation, security, or integrity of the Service;
use bots, crawlers, scrapers, spiders, automated requests, or data-mining tools to systematically access or extract information from the Service without the Company's written permission;
circumvent subscription restrictions, access controls, security measures, or other technical restrictions;
reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying algorithms, models, systems, or proprietary methodologies of the Service except where such restriction is prohibited by applicable law;
reproduce or commercially exploit the Service or proprietary Company materials without authorization;
use the Service to develop or operate a competing product or service based substantially on the Company's proprietary features, systems, data organization, or materials; or
use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with another person's use of the Service.

The Company may suspend or terminate Accounts that violate these requirements, subject to applicable law and these Terms.

No Brokerage, Dealer, or Professional Relationship

Vaelith Intelligence, LLC is a technology and information service. The Company is not a real-estate broker, real-estate agent, property manager, vehicle dealer, automotive broker, investment adviser, financial adviser, appraiser, mechanic, attorney, accountant, or other professional adviser solely by providing the Service. The Service does not purchase, sell, broker, represent, or act as an agent for any buyer, seller, dealer, property owner, vehicle owner, or other party in a transaction. You are solely responsible for independently evaluating information and obtaining professional advice when appropriate.

Third-Party Brand Disclaimer

Vaelith Intelligence, LLC is an independent technology and market-intelligence company and is not affiliated with, sponsored by, endorsed by, or otherwise associated with any vehicle manufacturer, dealership, real-estate brokerage, property owner, listing provider, or other third party unless expressly stated. Third-party names, trademarks, service marks, logos, vehicle names, property information, photographs, and other identifying materials displayed through the Service belong to their respective owners or licensors.

Indemnification

To the maximum extent permitted by applicable law, You agree to defend, indemnify, and hold harmless Vaelith Intelligence, LLC and its owners, officers, employees, contractors, affiliates, licensors, suppliers, and service providers from and against claims, liabilities, damages, losses, costs, and reasonable expenses arising out of or relating to: (1) Your violation of these Terms; (2) Your unlawful or unauthorized use of the Service; (3) Your violation of applicable law or the rights of another person or entity; or (4) fraudulent or intentionally wrongful conduct by You in connection with the Service. This section does not require You to indemnify the Company to the extent prohibited by applicable law.

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

We may suspend or terminate Your Account or access to all or part of the Service if: You violate these Terms; You use the Service for unlawful, fraudulent, abusive, or unauthorized purposes; Your Account creates a security or operational risk; You fail to pay applicable subscription fees; We are required to do so by law; or We discontinue or materially modify the Service.

If We terminate Your subscription for reasons other than Your violation of these Terms, We will provide any refund required under applicable law for prepaid subscription periods that remain unused. If You cancel Your subscription, You may continue to access subscription features through the end of the applicable paid billing period unless otherwise stated or required by applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its owners, officers, employees, contractors, affiliates, suppliers, service providers, licensors, and technology providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, anticipated savings, data, goodwill, or other intangible losses, arising out of or relating to Your use of (or inability to use) the Service; information, listings, market data, estimates, analysis, or AI-generated content provided through the Service; errors, omissions, inaccuracies, or changes in third-party data; transactions or decisions made based on information obtained through the Service; interruptions, delays, errors, security incidents, or failures of third-party services; or any other matter relating to the Service.

To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount You paid to the Company for the Service during the three months immediately preceding the event giving rise to the claim, or (b) $100. These limitations do not apply to liability that cannot lawfully be excluded or limited under applicable law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. The Company makes no representation that the Service will meet Your requirements, achieve any intended results, be compatible with other software or services, operate without interruption, or be error free. Some jurisdictions do not allow the exclusion of certain warranties, so some or all of the above exclusions may not apply to You.

Electronic Communications

When You access or use the Service, communicate with the Company electronically, create an Account, or purchase a Subscription, You consent to receive communications from the Company electronically. You agree that electronic communications, notices, disclosures, agreements, and records provided by the Company may satisfy applicable legal requirements that such communications be in writing, except where applicable law requires otherwise.

Assignment

You may not assign, transfer, delegate, or otherwise convey Your Account, Subscription, or rights or obligations under these Terms without the Company's prior written consent. The Company may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.

Entire Agreement

These Terms, together with the Privacy Policy, Subscription Agreement, and any other policies or documents expressly incorporated by reference, constitute the entire agreement between You and the Company regarding Your use of the Service and supersede prior or contemporaneous agreements regarding the Service.

Force Majeure

The Company will not be responsible for any delay, interruption, or failure to perform caused by circumstances beyond the Company's reasonable control, including failures of internet or telecommunications services, hosting or infrastructure failures, third-party service outages, natural disasters, acts of government, war, civil unrest, labor disputes, or other events beyond the Company's reasonable control.

Governing Law

These Terms and Your use of the Service are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.

Disputes Resolution

If You have a concern or dispute regarding the Service, You agree to first contact the Company and give Us a reasonable opportunity to attempt to resolve the matter informally before pursuing other remedies, except where applicable law permits or requires You to proceed differently.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
