Subscription Agreement

This Subscription Agreement ("Subscription Agreement") governs Your purchase and use of a paid subscription to Vaelith Intelligence, provided by Vaelith Intelligence, LLC ("Vaelith," "Company," "We," "Us," or "Our").

By purchasing a Subscription, You acknowledge that You have read and agree to this Subscription Agreement, the Vaelith Terms & Conditions, and the Vaelith Privacy Policy.

1. Subscription

Vaelith offers one paid monthly subscription that provides access to enhanced listing metrics, Market Intelligence, AI-powered analysis, and other subscription features made available by the Company from time to time. The specific features available through Your Subscription may change, be updated, expanded, modified, or discontinued at the Company's discretion, subject to applicable law.

2. Subscription Price

The current Subscription price is $299 per month. Any applicable taxes or other charges will be disclosed to You before they are charged, where required by applicable law.

3. Initial Charge

When You complete Your purchase, You authorize Vaelith or its payment processor to charge Your selected payment method $299 for the initial Subscription period, plus any applicable taxes or other amounts expressly disclosed before purchase. Your Subscription begins when the initial payment is successfully processed and Your paid access is activated.

4. Automatic Monthly Renewal

Your Subscription automatically renews every month unless You cancel it before the next renewal date. By purchasing the Subscription, You expressly authorize Vaelith or its payment processor to automatically charge Your selected payment method $299 per month on each applicable renewal date until You cancel Your Subscription. The recurring nature of the Subscription and the amount of the recurring charge will be disclosed to You before You complete Your purchase.

5. Cancellation

You may cancel Your Subscription at any time. If You purchase Your Subscription through the Vaelith website, You may cancel through the cancellation method provided through Your account or the Service. Cancellation stops future recurring charges. Unless otherwise required by applicable law, cancellation does not automatically entitle You to a refund for the current billing period.

6. Refunds

Subscription fees are non-refundable except where a refund is required by applicable law or expressly approved by the Company. Nothing in this Subscription Agreement limits any refund or other remedy that may be required by applicable law.

7. Failed Payments

If a renewal payment fails, Vaelith or its payment processor may attempt to process the payment again. Vaelith may suspend or restrict access to paid Subscription features until the applicable payment is successfully processed. You are responsible for maintaining a valid payment method associated with Your Subscription.

8. Changes to Subscription Price

Vaelith may change the Subscription price from time to time. If the Subscription price changes, We will provide any notice required by applicable law before the new price applies. Where required by law, You will have an opportunity to cancel Your Subscription before the new price takes effect.

9. Subscription Access

Your Subscription provides You with a limited, non-exclusive, non-transferable, revocable right to access and use the paid features of the Service during the applicable Subscription period, subject to the Vaelith Terms & Conditions. Your Subscription does not transfer ownership of any Vaelith software, technology, intellectual property, proprietary data, analytical systems, or other Company materials to You.

10. AI and Market Intelligence Features

Vaelith's Market Intelligence, listing metrics, valuations, AI-generated analysis, search results, negotiation assistance, and other analytical features are provided for informational purposes. These features may rely on third-party listing, vehicle, property, pricing, historical, market, or other data, and may be incomplete, inaccurate, outdated, delayed, or unsuitable for Your particular circumstances. You are responsible for independently verifying material information before relying on it. The Subscription does not constitute professional financial, investment, legal, tax, real-estate, automotive, appraisal, inspection, brokerage, or other professional advice.

11. Relationship to the Terms & Conditions

This Subscription Agreement supplements the Vaelith Terms & Conditions. If there is a conflict between this Subscription Agreement and the Terms & Conditions regarding the specific price, billing, renewal, cancellation, or refund terms of Your Subscription, the terms of this Subscription Agreement will control to the extent of that conflict.

12. Electronic Acceptance

By selecting the purchase or subscription button and completing Your purchase, You electronically agree to this Subscription Agreement and authorize the recurring charges described above. Your electronic acceptance has the same effect as a written signature to the extent permitted by applicable law.
